Terms & Conditions
1. Introduction
These Terms and Conditions ("Terms") govern the relationship between Orange Moon Web, a business operated by Charlie Cooper ("Orange Moon Web", "we", "us", or "our"), and you, the client ("you" or "your"). These Terms apply to all services provided by Orange Moon Web, including web design, web development, and web hosting (collectively, the "Services").
2. Services
Orange Moon Web will provide the Services as outlined in a separate written agreement ("Project Agreement") between you and Orange Moon Web. The Project Agreement will detail the specific services to be provided, timelines, and fees.
3. Project Acceptance
You will have the opportunity to review and approve all stages of the project before it goes live. Once you approve the final design and functionality, the project will be considered accepted.
4. Payment
Payment terms will be outlined in the Project Agreement. Generally, a 50% deposit will be required before work commences, with the remaining balance due upon project completion and acceptance. We accept payment via bank transfer, and occasionally, credit card.
5. Intellectual Property
a. Content: You retain ownership of all content (text, images, logos, etc.) that you provide for the project.
b. Design and Development: We retain ownership of the intellectual property rights associated with the design and development of the website, unless otherwise agreed in writing. We grant you a non-exclusive license to use the website for your business purposes only.
6. Revisions and Maintenance
Minor revisions to the website may be included in the initial project fee. Major revisions or ongoing maintenance will be billed at our hourly rate as outlined in the Project Agreement.
7. Domain Name Registration and Web Hosting
a. Domain Registration: We can assist you with registering a domain name for your website. You will be the owner of the domain name, and renewal fees will be your responsibility.
b. Web Hosting: We offer web hosting services. Hosting fees will be outlined in the Project Agreement and are typically billed monthly.
8. Warranties and Disclaimers
We strive to deliver high-quality services. However, we cannot guarantee that the website will be completely free of errors or interruptions. We disclaim all warranties, express or implied, including but not limited to, warranties of merchantability and fitness for a particular purpose.
9. Limitation of Liability
Our liability to you for any cause whatsoever, and regardless of the form of the action, will be limited to the amount paid by you for the Services under the Project Agreement. We will not be liable for any lost profits, lost data, or other damages.
10. Term and Termination
These Terms will remain in effect for the duration of the project and any subsequent hosting agreements. Either party may terminate the agreement for any reason with 30 days' written notice. Termination of the hosting agreement does not affect the ownership of intellectual property.
11. Confidentiality
Both parties agree to keep confidential all non-public information obtained during the course of the project.
12. Force Majeure
We will not be liable for any delays or failures in performance due to causes beyond our reasonable control, such as acts of God, war, terrorism, or natural disasters.
13. Dispute Resolution
Any dispute arising out of these Terms will be resolved through good faith negotiation. If a resolution cannot be reached, the dispute will be settled by negotiation.
14. Entire Agreement
These Terms constitute the entire agreement between you and Orange Moon Web regarding the Services and supersede all prior or contemporaneous communications, representations, or agreements.
15. Governing Law
These Terms will be governed by and construed in accordance with the laws of the UK.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.
17. Amendments
We reserve the right to amend these Terms at any time. We will notify you of any changes by posting the revised Terms on our website. Your continued use of our Services following the posting of revised Terms will be deemed your acceptance of the changes.
